Management fee charged quarterly at an annualized rate of 1.25% on relevant investor capital account balance (after reductions for unrealized gains on Illiquid Assets and positive profit sharing obligations). The fee is paid in advance quarterly and amortized monthly.

20% of eligible profits, subject to loss carryforward limitations and other conditions as set forth in each respective limited partnership agreement.
