The Adviser implements a hedge-fund style trading strategy with broad flexibility to invest across public equities, SPACs (including sponsor equity, warrants and rights), derivatives, options, short positions and the selective use of leverage. Portfolio management is discretionary and oriented toward active trading and capital appreciation rather than tailoring strategies to individual investors’ needs.

What is distinctive is the firm’s affiliation with a FINRA-registered broker-dealer (Chardan), which at times presents SPAC offerings to the fund, executes transactions for the fund, and provides investment banking or underwriting services to issuers in which the fund may invest; these relationships and related-party holdings in SPAC sponsor equity can create potential conflicts of interest. The Adviser also operates alongside related advisers under common control and shares restricted lists and execution arrangements, a structure the firm identifies as creating allocation and information-handling considerations it seeks to mitigate through internal policies and procedures.
